The Texas Comptroller issues two (2) types of tax certificates:
1) Certificate of Tax Account Status ("COAS"), which is most commonly used for terminating an entity's registration with the Texas Secretary of State's office; and a
2) Tax Clearance Letter, which is issued to reinstate an entity's registration with the Texas Secretary of State's office, whether the entity is foreign or domestic.
There are two (2) ways to submit your request:
1) Obtain Online through your entity's WebFile account;
OR
2) File a paper request (Form 05-359, Request for Certificate of Account Status, or Form 05-391, Tax Clearance Letter Request for Reinstatement).
If your entity falls under one (1) of the following, you will be required to file paper request according to current comptroller guidelines:

Entities that are part of a combined group.

Entities that have been active for franchise tax for less than one year.

Entities registered as limited liability partnerships (LLPs).

Entities not registered with the Texas SOS.

Entities that have an active audit.

Entities whose existence or registration was forfeited prior to Jan. 1, 2000.

Entities with past due franchise tax filings and/or liabilities prior to Jan. 1, 1992.
